    These Terms apply to all services provided by KlarifAi, including but not limited to AI consulting, custom development, training, and ongoing support. If you do not agree to these Terms, please do not use our services.

    Services Overview

    • AI consulting and strategy development for businesses
    • Custom AI agent development and implementation
    • Team training and workshops on AI tools and best practices
    • Workflow automation design and deployment
    • Ongoing support and maintenance for implemented solutions

    Client Responsibilities

    • Provide accurate and complete information required for service delivery
    • Ensure timely payment of invoices according to agreed terms
    • Designate authorized personnel for project communication and decisions
    • Comply with all applicable laws and regulations in your use of our services
    • Maintain confidentiality of any proprietary information shared by KlarifAi

    Intellectual Property

    • KlarifAi retains ownership of all proprietary methodologies and frameworks
    • Clients retain ownership of their data and business-specific information
    • Custom solutions developed specifically for clients become client property upon full payment
    • General AI models and templates remain KlarifAi intellectual property
    • Both parties respect third-party intellectual property rights

    Limitations & Disclaimers

    • AI solutions are provided 'as is' without warranties of specific outcomes
    • KlarifAi is not liable for business decisions made based on AI recommendations
    • Maximum liability is limited to the amount paid for services in the preceding 12 months
    • Services may be subject to limitations of underlying AI technologies
    • Results may vary based on data quality and implementation factors

    Payment Terms

    Invoice Terms

    • • Payment due within 30 days of invoice date
    • • Late payments subject to 1.5% monthly interest
    • • All prices quoted in GBP unless specified
    • • Expenses billed separately with receipts

    Project Structure

    • • 50% deposit required before project commencement
    • • Milestone payments for projects over £10,000
    • • Monthly retainers for ongoing support
    • • Change requests subject to additional fees

    Confidentiality & Data Protection

    Both parties acknowledge that confidential information may be disclosed during the course of our professional relationship.

    Confidential Information Includes:

    • • Business strategies, processes, and methodologies
    • • Technical specifications and system designs
    • • Financial information and business data
    • • Customer lists and market intelligence

    Data Protection Commitment:

    • • Full compliance with UK GDPR and Data Protection Act 2018
    • • Secure handling and processing of all personal data
    • • Data Processing Agreements available upon request
    • • Regular security audits and updates

    Service Delivery & Timelines

    Project Timelines

    All project timelines are estimates based on information available at project commencement. Actual delivery may vary due to:

    • • Scope changes or additional requirements
    • • Client feedback and approval cycles
    • • Technical complexity discoveries
    • • Third-party integration dependencies

    Force Majeure

    KlarifAi is not liable for delays caused by circumstances beyond our reasonable control, including:

    • • Government regulations or restrictions
    • • Technology platform outages
    • • Pandemic or health emergencies

    Termination & Cancellation

    Termination Rights:

    • • Either party may terminate with 30 days written notice
    • • Immediate termination for material breach or non-payment
    • • Client responsible for work completed to termination date
    • • All deliverables and IP transferred upon full payment

    Post-Termination:

    • • Confidentiality obligations survive termination
    • • Client data returned or securely destroyed as requested
    • • Outstanding invoices remain due and payable
    • • Transition assistance available at standard rates

    Governing Law & Disputes

    These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

    Dispute Resolution:

    • • Mediation through agreed third party if needed
    • • Arbitration or court proceedings as last resort
    • • Continued service delivery during dispute resolution
